Workspace Sharing Addendum

This Addendum forms an integral part of the Rootli Stylist Services Agreement and applies to all on-demand chair, booth, or studio space bookings facilitated via the Rootli platform.

01Bare Licence to Occupy & HMRC Employment Delineation

1.1 Bare Licence Status

Every chair or studio booking creates a temporary, non-exclusive, revocable Bare Licence to Occupy the designated workstation for the specific hours booked. It does not create a lease, tenancy, or property interest under the Landlord and Tenant Act 1954.

1.2 Strict Non-Employment

The Host Studio (“Host”) and Renting Stylist (“Stylist”) acknowledge that this workspace sharing agreement does not constitute an employment, worker, agency, or partnership relationship. Both parties contract as independent business entities.

02Operational Sovereignty & Pricing Autonomy

2.1 Pricing Freedom

The Stylist retains 100% unrestricted autonomy to set their own consumer service menus, prices, discounts, and packages. The Host shall not dictate, mandate, or influence the prices charged by the Stylist to their clients.

2.2 Schedule Sovereignty

The relationship is strictly transient and on-demand. The Host shall not dictate working hours, shifts, dress codes, client quotas, or attendance patterns. The Stylist accepts chair bookings on a per-day or per-slot basis and is free to book or decline future slots at will.

03Equipment, Consumables & Premises Safety

3.1 Independent Assets: The Stylist must provide all personal technical tools (clippers, shears, hot tools, brushes), chemical backbar products, colour lines, towels, and consumables required to deliver their services.

3.2 Host Facilities: The Host provides access only to the physical hydraulic chair/station, wash basin, ambient power, lighting, water, and shared client waiting areas.

3.3 Health & Safety Compliance: The Host warrants that the premises and provided equipment comply fully with the Health & Safety at Work etc. Act 1974 and local authority sanitation standards.

04Financial Decoupling, Payouts & VAT

4.1 Linear Payment Flow

All client payments for hair services flow directly into the Stylist’s Rootli Stripe wallet. The Host has zero access to, or interest in, the Stylist’s client revenues.

4.2 Chair Fee Disbursement: The agreed chair-rental fee is collected from the Stylist via Rootli at checkout and paid to the Host (less Rootli’s platform service fee) upon commencement of the booking period.

4.3 Tax & VAT Independence: Both Host and Stylist are individually responsible for accounting for their own Income Tax, Corporation Tax, National Insurance, and VAT (where applicable) on chair rental fees and client service revenues.

05Insurance Attestation, Damage & Mutual Indemnities

5.1 Mandatory Insurance Verification

The Stylist must maintain active Public and Products Liability Insurance (minimum £1,000,000 cover) extending to mobile or guest-salon work. False in-app insurance attestations constitute a material breach resulting in immediate platform removal.

5.2 Property Damage Liability

The Stylist agrees to indemnify the Host for any physical damage caused to the Host’s venue, chairs, basins, or equipment resulting from the Stylist’s negligence or intentional misuse.

5.3 Premises Injury Liability: The Host indemnifies the Stylist and Rootli against any third-party claims or injuries resulting from structural venue defects, slip/trip hazards in common areas, or faulty Host-supplied utilities.

5.4 Rootli Intermediary Disclaimer: Rootli acts solely as a venue booking matchmaker and assumes zero liability for disputes, property damage, or physical injuries occurring on the Host’s premises.

06Chair Cancellation & Refund Rules

6.1 Stylist Chair Cancellation (> 48h): Full refund of chair-rental fee minus platform administration fee.

6.2 Stylist Chair Cancellation (< 48h): Chair-rental fee is 100% non-refundable to compensate the Host for reserved floor capacity.

6.3 Host Cancellation: If a Host cancels a confirmed chair booking, 100% of the chair fee is immediately returned to the Stylist. Repeated Host cancellations (< 48h) will result in Host removal from the Rootli Workspace Network.
